Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between Ac AutoFlow Inc. ("DealerAutomation", "we", "us") and the dealership or individual ("Dealer", "you") that creates an account, accesses our website, or uses DealerAutomation software. By using the Service you confirm that you have authority to bind the dealership and that you agree to these Terms.

If you do not agree with these Terms, do not access or use the Service.

2. Services

DealerAutomation provides a web application that enables Canadian car dealers to manage inventory, publish listings to supported third-party marketplaces, and review status reports. We may update features, add new modules, or remove deprecated functionality at our discretion. Material changes will be communicated to account owners.

3. Account responsibilities

• Provide accurate dealership information, keep contact details current, and maintain valid marketplace credentials.
• Control access to your account, including creating user roles, managing permissions, and safeguarding passwords.
• Ensure that all vehicle information, documents, and pricing uploaded to the platform are correct and authorized for publication.

You are responsible for all activity that occurs under your account, including actions performed by your employees, contractors, and any third parties granted access.

4. Connected platforms

The Service publishes to marketplaces you choose to connect. You must maintain active accounts, comply with each marketplace's policies, and secure the rights to post inventory on those channels.

You authorize us to send inventory data, photos, pricing, and related information to connected platforms on your behalf. We are not liable for marketplace outages, delays, or decisions to remove listings.

5. Subscription and payment

• Plans are priced by the number of connected platforms (2, 4, or 6). Fees are billed monthly or annually as specified in your order form.
• Unless otherwise stated, subscriptions auto-renew for successive terms. Cancel before renewal to avoid future charges.
• All fees are non-refundable except where required by law or agreed in writing.
• Late payments may result in suspension or downgraded access until the balance is resolved.

6. Acceptable use

You agree not to:

• Misuse the Service to send spam, upload malicious code, or attempt unauthorized access.
• Publish content that is deceptive, unlawful, discriminatory, or violates provincial or federal consumer regulations.
• Reverse engineer, copy, or resell the Service without written permission.
• Use inventory data obtained through the Service for unrelated products or services without consent.

7. Data ownership and license

Dealerships retain ownership of vehicle data, media, and documents provided to DealerAutomation. You grant us a worldwide, royalty-free license to host, copy, transmit, and display that content solely to deliver the Service and support your account.

We may use aggregated, anonymized data to improve functionality, benchmark performance, or develop insights, provided that no dealership or customer is identifiable.

8. Confidentiality and privacy

We treat dealership information as confidential and implement safeguards consistent with industry practice. Our collection, use, and disclosure of personal information are described in the Privacy Policy, which is incorporated into these Terms.

9. Availability and support

• We aim to provide reliable access with scheduled maintenance performed during low-traffic windows.
• Support levels vary by plan: email support for Basic, priority email and phone for Growth and Full plans.
• Beta features or pilot integrations may be offered "as is" without service-level commitments.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. DealerAutomation does not guarantee marketplace approvals, search rankings, lead volume, or sales outcomes.

11. Limitation of liability

To the maximum extent permitted by law, DealerAutomation, its directors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption. Our total liability for any claim arising out of or relating to the Service will not exceed the fees paid by you to DealerAutomation in the twelve (12) months preceding the event giving rise to the claim.

12. Term and termination

• You may terminate your subscription at the end of the then-current term by providing written notice according to your order form.
• We may suspend or terminate access immediately if you violate these Terms, fail to pay fees, or misuse the Service.
• Upon termination we will disable access to the dashboard. You may export inventory records and reports during the retention window described in the Privacy Policy.

13. Changes to the Service or Terms

We may modify the Service or these Terms to reflect product updates, legal requirements, or business needs. When changes are material we will provide notice via email or in-app alerts and indicate the effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in Winnipeg, Manitoba.
